These Terms of Service govern use of sonnywebs.com.ng and services supplied by Sonnywebs International. A signed proposal, accepted quotation, order, plan or statement of work may add project-specific terms. Where they conflict, the signed project document controls for that engagement.
1. Services and scope
We provide digital, creative and technical services. Deliverables, exclusions, timelines, revision limits and responsibilities are defined in the accepted scope. Work outside that scope requires written approval and may attract an additional fee or revised delivery date.
2. Proposals, offers and acceptance
Published prices are starting prices unless expressly described as fixed. A client may accept a listed price or submit an offer. A request becomes binding only when Sonnywebs accepts the scope and price in writing and any required initial payment has cleared.
3. Fees, taxes and payment
Invoices are payable in the currency, instalments and period shown on the document. Applicable taxes, transaction charges and approved third-party costs may be added. We may pause work, withhold delivery or suspend a service where an amount is overdue.
4. Client responsibilities
The client must provide accurate instructions, authorised content, access credentials, approvals and feedback on time. The client warrants that materials supplied to us may legally be used. Delays in receiving these items may move the delivery date.
5. Changes, revisions and delays
Included revisions apply to the agreed concept and scope. A new direction, new feature or repeated revision may be treated as a change request. Timelines are good-faith estimates and may change because of client delay, third-party dependency, force majeure or newly discovered technical requirements.
6. Intellectual property
After full payment, the client receives the rights expressly stated in the project scope. Sonnywebs retains ownership of pre-existing tools, reusable code, methods, know-how and licensed components. Third-party assets remain subject to their own licences. We may display completed work in our portfolio unless confidentiality has been agreed in writing.
7. Hosting, domains and recurring services
Renewal dates and fees are displayed in the client account or renewal notice. The client is responsible for paying before expiry. We are not liable for interruption, loss or increased third-party charges caused by late renewal, provider action or expired services.
8. Confidentiality and data
Each party will protect non-public business information received for the project. Personal information is handled according to our Privacy Policy.
9. Warranties and third-party services
We will perform services with reasonable skill and care. Except where the law requires otherwise, we do not guarantee uninterrupted operation, a particular search ranking, sales result or performance of third-party platforms, networks, devices or services.
10. Liability
To the maximum extent permitted by law, indirect or consequential loss is excluded. Our total liability arising from an engagement will not exceed the amount paid to Sonnywebs for the affected service during the preceding six months. Nothing here excludes liability that cannot legally be limited.
11. Cancellation and refunds
Cancellation and refund eligibility are governed by the accepted scope and our Refund and Cancellation Policy. Completed milestones, commenced custom work, purchased licences and third-party costs are ordinarily non-refundable.
12. Acceptable use and suspension
Services must not be used for unlawful, deceptive, abusive or rights-infringing activity. We may reject, pause or terminate work that creates legal, security or reputational risk.
13. Governing law and disputes
These terms are governed by the laws of the Federal Republic of Nigeria. The parties will first attempt good-faith resolution; unresolved disputes may be submitted to a court of competent jurisdiction in Nigeria.
